In most cases, Sonray Corporate is initially engaged as a Company’s Corporate/Financial Adviser. In respect of capital raisings, we would also normally undertake the role of Issue Sponsor or Lead Manager.

Finally, subject to the particular circumstances of the transaction and the client’s needs, we will also look to Underwrite part or all of the raising. In the context of these roles, we would seek to provide clients with assistance in the four key aspects of any transaction:

1. Corporate/strategic advice:

• Identification and analysis of opportunities
• Advice on the key commercial considerations, such as equity and offer structures, valuation and pricing, capital structures and funding requirements
• Assistance with negotiations and/or other tactical or strategic matters
• Assistance with drafting and presentation of formal documentation eg Prospectus

2. Project management:

• Liaison with other key professional advisers and appropriate regulators
• Participation in due diligence
• Monitoring and management of investment enquiries and applications 

3. Fund Raising:

• Preparation of Investment Profiles and Presentation materials 
• Introduction to stockbrokers, institutions and other investment groups, including debt financiers
• Co-ordination of Investment Roadshows   
• Underwriting

4. After Market:

• Implementation of an appropriate Investor Relations program
• Preparation and/or procurement of Research coverage
